1. Acceptance of Terms
By using SynPlexity’s website, placing an order, or signing an Order Form, you agree to be bound by these Terms. If you are acting on behalf of an entity, you represent that you have the authority to bind that entity. These Terms prevail over conflicting terms in an Order Form unless expressly agreed otherwise in writing.

You must be at least 18 years old and authorized to act on behalf of your organization to use our website or place an order. You may not use our website or services for any unlawful purpose, including violation of biosecurity, biosafety, export control, or intellectual property laws.
3. Orders; Products & Services
Orders require a mutually agreed Order Form or online checkout confirmation. No order is binding until accepted by SynPlexity. We may cancel an order for safety, legal, or feasibility reasons. Customer-provided information and materials (“Customer Materials”) must comply with all applicable laws and must not contain restricted agents or hazardous substances as defined by law.
4. Acceptable Use Policy

5. Delivery & Title
Products are shipped F.O.B. our facility unless otherwise stated. For international orders, you are responsible for import clearance, taxes, and customs duties.

You agree to pay all fees according to the applicable Order Form or checkout terms, plus any applicable taxes and shipping charges. Tax-exempt status must be documented prior to order.
7. Intellectual Property & License
SynPlexity retains ownership of all SynPlexity intellectual property. You receive a limited, non-exclusive, non-transferable license to use the products as delivered, for your internal research purposes only, unless otherwise agreed in writing.

Each party will protect the other’s confidential information and not disclose it except as permitted in these Terms or required by law.
9. Warranty Disclaimer
We warrant that our services will be performed in a professional manner and that products will substantially match their specifications. All other warranties, express or implied, are disclaimed to the fullest extent permitted by law.
10. Limitation of Liability
To the maximum extent permitted by law, SynPlexity’s total liability will not exceed the amount you paid us for the specific product or service in the 12 months before the claim. We are not liable for indirect or consequential damages.
11. Governing Law & Dispute Resolution
These Terms are governed by Oregon law. Disputes will be resolved by binding arbitration in Oregon under JAMS Comprehensive Arbitration Rules, except either party may seek injunctive relief in court.
